Not defending

When a player is taken by surprised and is not defending what objective number we should use?Should we use his parry as he is not defending? What values should we take into account.

Even when taken by surprise the surprise only extends to the ambusher getting a 'free' Opening Volley and the ambushees having to roll their Battle skill at TN18 for additional Combat Advantage success dice and they cannot make an Opening Volley themselves.
The company (assuming more than half are surprised) count as attacking and take their turn second but the stances are still chosen as they would be for any combat.

As Hermes said, doesn't change much. You just lost initiative and attack second (huge disadvantage) Battle roll to highger TN.
Anyway if you talk more of a single combat when a player doesn't have time to unsheathe his weapon off I'd remove his parry rating from the TN attacker difficulty
